End User License Agreements
STL Ignite AmpHub End User License Agreement (EULA)
This is a legal agreement between you and STL Tones (US) Inc. ("STL Tones"). Read this agreement carefully. By downloading and installing our products, you agree that you have read and understand this agreement and will be bound by its terms and conditions, and you have read and understood STL Tones' privacy policy (accessible at www.stltones.com/pages/privacy-policy).
All names of amps, pedals, cabinets, microphones, and other gear and/or accessory brands are trademarks owned by their respective manufacturers and are in no way affiliated with STL Tones, Ignite Amps, or STL Ignite - AmpHub. Product names are simply used for the purpose of identifying the hardware chain that was used to create the digital presets.
SOFTWARE.
"Software" means the STL Tones executable software product accompanying this agreement, along with any modules, presets, and/or user documentation.
LICENSE.
Subject to all the terms and conditions of this Agreement, you (a natural person) may use the Software either on a stand-alone computer or on a network, on any one computer at any one time. If more than one user will be using the Software at any one time, you must obtain from STL Tones an additional license for each additional concurrent user of the Software. The Software is "in use" on a computer when loaded into memory (RAM). You may make one copy of the Software solely for backup or archival purposes if all copyright and other notices are reproduced on that copy, or you may copy the Software to a single hard disk, provided you keep the original solely for backup or archival purposes. If the Software is an upgrade, you must have a license for the product from which it is upgraded. If you receive the Software in more than one media form, that does not affect the number of licenses you are receiving or any other term of this Agreement.
OWNERSHIP.
The Software and all intellectual property rights therein (including copyrights, patents, trade secrets, trademarks, and trade dress) are owned by STL Tones or its suppliers and are protected by the laws of Australia and other countries and by international treaty provisions. STL Tones retains all rights not expressly granted in this Agreement.
OTHER RESTRICTIONS.
You may not modify, adapt, decompile, disassemble, or otherwise reverse engineer the Software, except to the extent this restriction is expressly prohibited by applicable law. You may not loan, rent, lease, or license the Software, but you may permanently transfer your rights under this Agreement, provided you transfer this Agreement, all Software, and all accompanying printed materials, and retain no copies, and the recipient agrees to the terms of this Agreement. Any such transfer must include the most recent update and all prior versions.
LIMITED WARRANTY.
STL Tones warrants that, for a period of fourteen (14) days from your date of receipt, the Software will substantially conform to the applicable user documentation provided with the Software. Any implied warranties which may exist despite the disclaimer herein will be limited to fourteen (14) days. This Limited Warranty is void if you obtain the Software from an unauthorized reseller, you violate the terms of this Agreement, or if the failure of the Software is due to accident, abuse, or misapplication. Some states/jurisdictions do not allow limitations on the duration of an implied warranty, so this limitation may not apply to you.
CONFORMANCE TO STANDARDS.
The Software may include features and presets to process audio to conform to various industry standards (for example, loudness standards promulgated in the audio production industry). While STL Tones engineers have diligently worked to make the Software and presets accurately implement any such industry standards, STL Tones can make no representation or warranty that the Software or presets will make audio correctly comply with any present or future standard.
SUPPORT.
Subject to the limited warranty stated above, and further subject to you not being in violation of any term of this Agreement, STL Tones will provide email support for the Software to the original purchaser, for a period of 12 months from the original purchase date.
REGISTRATION INFORMATION.
When you activate the Software, STL Tones may collect your name and email address, and other contact information you choose to provide. STL Tones may use this information to contact you regarding upgrades and new products, and also to gather statistical data that does not identify individual users. STL Tones does not collect or retain any financial information (such as credit card information).
USAGE INFORMATION.
When you use the Software, STL Tones may collect certain information about your computer and your use of, or interaction with, the Software ("Usage Data"). This will include the time spent using the Software and the beginning and end date/time of such use. We will use and disclose this Usage Data in accordance with applicable laws and our Privacy Policy (as amended from time to time).
AMPHUB STL EXCHANGE.
User agrees to only upload, submit, or share content on the STL Exchange that they have personally created and have the legal right to use and share such content. By submitting content, User represents and warrants that they are the sole creator and owner of the submitted content, and that the content does not infringe upon the rights of any third party and is not otherwise contrary to law.
Licensee agrees not to engage in any activity that involves impersonation, misrepresentation, or unauthorized use of the identity, likeness, or persona of any individual or entity, including but not limited to the following:
a. Impersonating other users, artists, celebrities, or individuals.
b. Creating fake profiles, accounts, or personas using the identity of others.
c. Using the Software to deceive, mislead, or cause confusion about the Licensee's true identity.
d. Use of any third-party trademarks.
STL Tones reserves the right to remove or disable access to any user-generated content, or edit a Licensee's display name, where the same is a violation of the terms of this Agreement or is deemed, in STL Tones' sole discretion, inappropriate or objectionable. In the case of serious or repeated violations, STL Tones may terminate User's access to the STL Exchange.
COLLECTION OF DE-IDENTIFIED DATA
1. Data Collection: By using this software, you acknowledge and agree that the Company may collect and use de-identified data related to the performance and usage of the plugin ("De-Identified Data").
2. Purpose: The De-Identified Data will be used for the purpose of improving the plugin, enhancing user experience, and for research and analytical purposes.
3. Anonymization: The De-Identified Data collected will not include any personally identifiable information ("PII") and will be anonymized in accordance with industry standards before being analyzed or used by the Company.
4. Usage and Sharing: The Company will not share any De-Identified Data with third parties. All data collected will be used solely for internal purposes as outlined above.
5. Data Security: The Company will implement reasonable security measures to protect the De-Identified Data from unauthorized access, use, or disclosure.
DISCLAIMER.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STL TONES DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. STL TONES DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE. THE WARRANTY AND REMEDIES SET FORTH HEREIN ARE EXCLUSIVE AND IN LIEU OF ALL OTHERS, ORAL OR WRITTEN, EXPRESS OR IMPLIED.
The Limited Warranty set forth herein gives you specific legal rights, and you may have others under applicable law, which may vary depending on your location. No dealer, distributor, agent or employee of STL Tones is authorized to change or add to the warranty and remedies set forth herein. Any other software furnished with or accompanying the Software is not warranted by STL Tones.
LIMITATION OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STL TONES WILL HAVE NO LIABILITY FOR ANY DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE (INCLUDING, WITHOUT LIMITATION, DAMAGES OR COSTS FOR LOSS OF PROFITS, BUSINESS, GOODWILL, DATA OR OTHER ASSETS, OR COMPUTER PROGRAMS) EVEN IF STL TONES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL STL TONES BE LIABLE FOR ANY AMOUNTS EXCEEDING THE AMOUNTS RECEIVED FROM YOU FOR YOUR LICENSE OF THE SOFTWARE.
Some jurisdictions do not allow exclusion or limitation of liability for consequential or incidental damages, so this limitation may not apply to you.
TERMINATION.
The Agreement will terminate automatically if you fail to comply with any of its terms. On termination, you must immediately cease using and destroy all copies of the Software.
GENERAL.
This Agreement is the complete and exclusive statement of the agreement between you and STL Tones and supersedes any proposal or prior agreement, oral or written, and any other communications relating to the subject matter of this Agreement. This Agreement is in the English language only, which language will be controlling in all respects, and all versions of this Agreement in any other language will be for accommodation only.
LEGAL.
This Agreement will be governed by and interpreted under the laws of the Commonwealth of Australia, without regard to conflicts of law provisions; however, if you acquired the Software outside Australia, local law may override this sentence and apply instead. To the extent permitted by law, you agree that no lawsuit or any other legal proceeding connected with the Software shall be brought or filed by you more than one (1) year after the incident giving rise to the claim occurred. IN ADDITION, ANY SUCH LEGAL PROCEEDING SHALL NOT BE HEARD BEFORE A JURY. EACH PARTY GIVES UP ANY RIGHT TO A JURY TRIAL. To the extent permitted by law, you agree that you will not bring any class action lawsuit against STL Tones or be a representative plaintiff or plaintiff class member in any such lawsuit. MIX ASSISTANT CHATBOT.
The ControlHub plugin includes a Mix Assistant feature, which is an integrated chatbot that provides information about the product, expansion packs, and mixing tips. By using the Mix Assistant:
a. You acknowledge that the Mix Assistant provides general information and guidance only, and
should not be considered professional audio engineering advice.
b. All conversations with the Mix Assistant are completely anonymous. No personally identifiable information or data is collected, stored, or transmitted by STL Tones.
c. STL Tones makes no warranties regarding the accuracy, completeness, or applicability of the information provided by the Mix Assistant to your specific use case.
d. You agree to use the Mix Assistant at your own discretion and risk, and STL Tones shall not be liable for any decisions made based on the Mix Assistant's responses.

d. You agree to use the Tone Assistant at your own discretion and risk, and STL Tones shall not be liable for any decisions made based on the Tone Assistant's responses.
COLLECTION OF DE-IDENTIFIED DATA
1. Data Collection: By using this software, you acknowledge and agree that the Company may collect and use de-identified data related to the performance and usage of the plugin ("De-Identified Data").
2. Purpose: The De-Identified Data will be used for the purpose of improving the plugin, enhancing user experience, and for research and analytical purposes.
3. Anonymization: The De-Identified Data collected will not include any personally identifiable information ("PII") and will be anonymized in accordance with industry standards before being analyzed or used by the Company.
4. Usage and Sharing: The Company will not share any De-Identified Data with third parties. All data collected will be used solely for internal purposes as outlined above.
5. Data Security: The Company will implement reasonable security measures to protect the De-Identified Data from unauthorized access, use, or disclosure.
DISCLAIMER.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STL TONES DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. STL TONES DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE. THE WARRANTY AND REMEDIES SET FORTH HEREIN ARE EXCLUSIVE AND IN LIEU OF ALL OTHERS, ORAL OR WRITTEN, EXPRESS OR IMPLIED.
The Limited Warranty set forth herein gives you specific legal rights, and you may have others under applicable law, which may vary depending on your location. No dealer, distributor, agent or employee of STL Tones is authorized to change or add to the warranty and remedies set forth herein. Any other software furnished with or accompanying the Software is not warranted by STL Tones.
LIMITATION OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STL TONES WILL HAVE NO LIABILITY FOR ANY DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE (INCLUDING, WITHOUT LIMITATION, DAMAGES OR COSTS FOR LOSS OF PROFITS, BUSINESS, GOODWILL, DATA OR OTHER ASSETS, OR COMPUTER PROGRAMS) EVEN IF STL TONES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL STL TONES BE LIABLE FOR ANY AMOUNTS EXCEEDING THE AMOUNTS RECEIVED FROM YOU FOR YOUR LICENSE OF THE SOFTWARE.
Some jurisdictions do not allow exclusion or limitation of liability for consequential or incidental damages, so this limitation may not apply to you.
TERMINATION.
The Agreement will terminate automatically if you fail to comply with any of its terms. On termination, you must immediately cease using and destroy all copies of the Software.
GENERAL.
This Agreement is the complete and exclusive statement of the agreement between you and STL Tones and supersedes any proposal or prior agreement, oral or written, and any other communications relating to the subject matter of this Agreement. This Agreement is in the English language only, which language will be controlling in all respects, and all versions of this Agreement in any other language will be for accommodation only.
LEGAL.
This Agreement will be governed by and interpreted under the laws of the Commonwealth of Australia, without regard to conflicts of law provisions; however, if you acquired the Software outside Australia, local law may override this sentence and apply instead. To the extent permitted by law, you agree that no lawsuit or any other legal proceeding connected with the Software shall be brought or filed by you more than one (1) year after the incident giving rise to the claim occurred. IN ADDITION, ANY SUCH LEGAL PROCEEDING SHALL NOT BE HEARD BEFORE A JURY. EACH PARTY GIVES UP ANY RIGHT TO A JURY TRIAL. To the extent permitted by law, you agree that you will not bring any class action lawsuit against STL Tones or be a representative plaintiff or plaintiff class member in any such lawsuit.
